Profile
Eiichi Nagai is a founding partner of Kaynex Law Offices.
He advises both international and Japanese domestic clients on a broad range of matters, including: finance transactions, such as banking, capital markets and securitization; M&A; real estate; renewable energy; and startup and venture capital.
Eiichi’s extensive finance transaction experience covers advising in a number of highly complex, cutting-edge and significant transactions, including: the first Japanese CMBS/RMBS transaction backed by newly originated real estate loans since the collapse of Lehman Brothers; the first public offering of securities in the Japanese market by a Middle East issuer; the first JBIC-guaranteed samurai bonds; a public offering of sovereign debts with collective action clauses by an EU member state; and the first specific investors private placement (tokutei toushika shibo). Eiichi also has considerable experience in asset finance and acquisition finance.
His practice also covers M&A and turnaround deals with a wealth of experience in mid-sized M&A deals. In recent years, he has been involved in a significant number of outbound M&A transactions by Japanese clients. He has experience working as the launching member of the Japan Desk at the London office of a leading global law firm and assisted Japanese clients in their business and investments in Europe, the Middle East and Africa.
Eiichi regularly advises investors, asset managers and banks in real estate transactions using TK (tokumei kumiai), TMK (tokutei mokuteki kaisha) and LPS (toushi jigyo yugen sekinin kumiai). He also advises on listed and private REITs.
He also actively advises on clients’ day-to-day operations, including confidentiality agreements, distributor/agency agreements, franchise agreements, license agreements, software/system development agreements, and business alliance agreements.
Before joining the firm, Eiichi Nagai advised clients at leading international law firms’ Tokyo and London offices.
